Acme Infotech Solutions Terms and Conditions of Sale

PLEASE READ THESE TERMS AND CONDITIONS VERY CAREFULLY

THE TERMS AND CONDITIONS OF SALE ("Terms") ARE LIMITED TO THOSE CONTAINED HEREIN. ANY ADDITIONAL OR DIFFERENT TERMS IN ANY FORMS DELIVERED BY CUSTOMER ARE HEREBY DEEMED TO BE MATERIAL ALTERATIONS AND NOTICE OF OBJECTION TO THEM AND REJECTION OF THEM IS HEREBY GIVEN. BY ACCEPTING DELIVERY OF THE PRODUCTS AND SERVICES DESCRIBED IN ACME INFOTECH SOLUTIONS INVOICE OR OTHER ACME INFOTECH SOLUTIONS DOCUMENTATION, CUSTOMER AGREES TO BE BOUND BY AND ACCEPTS THESE TERMS AND CONDITIONS OF SALE UNLESS CUSTOMER AND ACME INFOTECH SOLUTIONS HAVE SIGNED A SEPARATE AGREEMENT, IN WHICH CASE THE SEPARATE AGREEMENT WILL GOVERN.
"We", "Our" or "Us" refers to Acme infoTech Solutions.

1. CUSTOMER ACKNOWLEDGEMENT

The Customer acknowledges agreement with these Terms and Conditions of Sale by the placement of an order to purchase product from Acme InfoTech Solutions. This contract of sale is between the entity named on the invoice (the "Customer") and Acme InfoTech Solutions. All goods are supplied on these terms and conditions only and no person in the employment or otherwise as agent for Acme InfoTech Solutions has any authority to supply goods on any other terms and conditions or to vary these terms and conditions in any way whatsoever. These Terms constitute a binding contract between Customer and Acme InfoTech Solutions. These Terms are subject to change without prior notice

PRICES

All pricing is subject to change. We reserve the right to make adjustments to pricing, products and service offerings for reasons including, but not limited to, changing market conditions, manufacturer price changes and errors in advertisements / price quotations. The purchase prices for products shall be the amounts set forth in the price quote, unless otherwise agreed in writing by Acme InfoTech Solutions, such prices are exclusive of any value added tax (VAT), other federal, or state taxes, delivery and transport charges and all other costs. Customer shall be responsible for and pay when due any taxes arising out of the transactions contemplated by this Agreement and shall indemnify and hold harmless Acme InfoTech Solutions from any and all such Taxes.

PAYMENT

Terms of payment are within our sole discretion. Invoices are due and payable within the time period specified on the invoice, measured from the date of invoice. We may invoice parts of an order separately. Customer is responsible for any applicable tax, federal, state or local fees or assessments associated with the order. In the event of a payment default, Acme InfoTech Solutions shall be entitled: a) To charge 1.5% monthly late payment fee on invoice amount from the due date of payment until payment received in full. b) To charge and recover costs incurred for the collection of payment such as but not limited to legal costs, dishonoured Cheque fees. c) At the sole discretion of Acme InfoTech Solutions put the Customers' credit account on hold and suspend the supply of goods and services.

DELIVERY OF GOODS AND SERVICES

We place great importance on the fast and reliable delivery of Customers orders, however please note that delivery times are estimates only and Acme InfoTech Solutions shall not be liable for delays from any circumstances beyond our control, including without limitation, product unavailability, carrier delays, severe weather conditions, labour problems, acts of war, terrorism, acts of God or acts of any government or agency. . The Customer, upon taking delivery of the goods, shall immediately examine the goods and give written notice to Acme InfoTech Solutions of any defect within five (5) days of such date, failure to notify Acme InfoTech Solutions of damage within this time period will be deemed an acceptance of the product, and standard return policies will apply.

RETURN OR EXCHANGE OF PRODUCTS

EXCEPT FOR LABELS, RIBBONS, PRINTHEADS AND SOFTWARE, all other merchandise may be returned to Acme InfoTech Solutions within 5 days from the date of items was received under the following conditions: 1) A Return Material Authorization ("RMA") number is first obtained from Acme InfoTech Solutions prior to returning any qualified product. 2) All returned merchandise must be in the original manufacturer's sealed packaging box(s). 3) Returned items must be unopened, unused, clean and free of damage of any kind. 4) Customer shall be responsible for any freight charges incurred in returning merchandise to Acme InfoTech Solution. A restocking fee of 15% will be charged by Acme InfoTech Solutions for any item returned. All merchandise is non-returnable to Acme InfoTech Solutions after 5 days from date order was received. SALES OF LABELS, RIBBONS, PRINTHEADS AND SOFTWARE ARE FINAL AND CANNOT BE RETURNED.

ORDERED ON REQUEST

For products showing ORDERED ON REQUEST, these products are not stocked and are ordered based on customer request . They are shipped direct from the manufacturers / distributors based on customer request and ARE NONE RETURNABLE ITEMS. ALL SALES ARE FINAL.

MANUFACTURER WARRANTY INFORMATION.

Customer understands that Acme InfoTech Solution is not the manufacturer of the products purchased by Customer hereunder and the only warranties offered are those of the manufacturer, not us. All products sold by Acme InfoTech Solutions are covered by the manufacturers' warranty that accompanies the product unless otherwise stated. Acme InfoTech Solutions makes no additional or independent warranty. Acme InfoTech Solutions does not warrant the performance, compatibility, integrity for a particular purpose of any product, but merely passes through to the Customer whatever end-user warranty the manufacturers or software publishers provide with their respective products.
PLEASE NOTE: Please Note: Hardware that is defective on arrival can generally be exchanged if we are notified within 5 days of invoice. Otherwise, standard return policies will apply.

LIMITATION OF LIABILITY

Acme InfoTech Solutions will not be liable for any indirect, special, consequential, or punitive damages (including lost profits) arising out of or relating to this agreement or the transactions it contemplates (whether for breach of contract, tort, negligence, or other form of action) and irrespective of whether the Seller has been advised of the possibility of any such damage. In no event will our liability exceed the price the customer paid for the specific Goods provided by us giving rise to the claim or cause of action.
